Statutes
In the following, the generic masculine is used as a representative for both masculine and feminine, with masculine personal designations representing both male and female persons equally.
§1 Name and Seat
Under the name "Institute for Business Administration at the University of Zurich Club" (IBW-Club), there exists an association within the meaning of Art. 60 ZGB (Swiss Civil Code).
The board decides the seat of the association.
§2 Purpose
The purpose of the association is to create a bridge between business practice and business research in order to promote the exchange of experience and information.
§3 Activities
To achieve its objectives, the association can undertake the following activities in particular:
- Organizing events
- Providing impetus for research and teaching
- Promoting personal and professional contacts
The board sets the annual activity program.
§4 Membership
Membership is open to all current and former professors, staff, doctoral candidates, and PhDs of business administration teaching and research at the University of Zurich. Only individual memberships are available. Active participation is expected.
§5 Admission and Withdrawal
Applications for admission must be submitted in writing to the secretariat. Admission can take place at any time. The board decides on admission.
Rejected applicants have the right to appeal to the general assembly. Appeals must be submitted by registered letter to the secretariat within 30 days of receiving the rejection.
Withdrawal from the association can only be done by registered letter, observing a six-month notice period at the end of the association year.
Withdrawing members are liable for outstanding and current annual fees.
With the withdrawal, any claim to the association's assets expires.
§6 Exclusion
Members whose behavior contradicts the purpose and goals of the association can be excluded by the board. They have the right to appeal to the general assembly within 30 days.
Members who do not pay their dues despite two registered reminders are also excluded.
The board has the right to exclude members whose membership seems detrimental to the reputation of the association. The exclusion does not remove liability for the dues owed.
§7 Association Year
The association year is the calendar year.
§8 Organs of the Association
The organs of the association are:
- The General Assembly
- The Board
- The Auditors
§9 General Assembly
The general assembly is the highest organ.
The association holds an ordinary general assembly annually.
Extraordinary general assemblies are convened by the board if necessary for association business or if at least one-fifth of the members demand it.
The convocation of the general assembly must take place at least one month before its date, and the agenda must be communicated to the members in writing. Items not announced in this way can only be discussed but not decided upon at a general assembly.
Members' proposals must be submitted to the board at least one month before the ordinary general assembly. Therefore, the board must inform the members of the date of this assembly at least two months in advance. The board must present the submitted proposals to the members with the invitation to the general assembly.
The general assembly takes place in the first quarter of each new year.
§10 Tasks of the General Assembly
The following matters are reserved for the decision of the ordinary general assembly:
- Approval of the board's annual report
- Approval of the association's accounts and receipt of the auditors' report
- Discharge of the board and the auditors
- Approval of the budget and determination of the annual fee
- Appointment of honorary members
- Election of the president and the board according to Art. 12
- Election of the auditors
- Amendments to the statutes
- Execution of the general assembly's decisions
- Business referred by the board
- Creation and use of funds
- Dissolution of the association
§11 Decisions
Each member has one vote. Proxy voting is not permitted. The board members also have voting rights, except in board elections and their discharge. The president has the casting vote in all cases.
Decisions and elections are made by a simple majority of the valid votes cast.
Decisions concerning amendments to the statutes require the approval of two-thirds of the members present to be valid. The same applies to a motion to dissolve the association. In the event of dissolution, a two-thirds majority is also required to decide on the use of any surplus assets.
The proceedings of the general assembly are recorded in minutes, which must be presented at the next general assembly.
§12 Board
The board consists of the president, the vice-president, the delegated professors, the treasurer, and the secretary, as well as other members of the association in a balanced manner.
The board comprises at least six members.
The board is elected by the general assembly. Professors active at the institute are not elected. They delegate at least two members to the board.
The position of vice-president is always held by one of the delegated professors. The board appoints a secretary. Otherwise, the board constitutes itself.
The board can form an executive committee.
The term of office of board members is four years. Re-election is possible.
Decisions in the board are made by a simple majority.
The president has the casting vote.
§13 Competencies of the Board
The board handles all association business. It represents the association externally and manages relationships with companies, authorities, and other organizations.
The legally binding signature is held by the president, the vice-president, and the treasurer collectively by two.
The board has the following tasks in particular:
- Enforcement of the statutes and regulations and implementation of the general assembly's decisions
- Convocation of the general assembly
- Annual written reporting on association activities, accounting for the association's accounts and any funds
- Election of the executive committee and determination of its competencies
- Setting any compensation
§14 Auditors
The association's and any funds' accounts are audited by two auditors. The auditors are elected simultaneously with the board for a term of four years.
§15 Financing
The association's income consists of:
- Membership fees
- Proceeds from association activities
- Donations from third parties, provided they are not earmarked
- Interest on the association's assets
These annual fees are payable by the end of July at the latest. Active university members do not pay membership fees. Professors at the Institute for Business Administration pay membership fees.
§16 Liability
Only the association's assets are liable for the association's obligations. Any personal liability of the members is excluded.
These statutes were unanimously approved at the founding meeting in Zurich on January 9, 1990, and revised at the 5th general assembly on January 24, 1995, the 6th general assembly on February 29, 1996, the 12th general assembly on February 7, 2002, and the 22nd general assembly on March 7, 2012. The latest amendments proposed by the board were adopted at the 28th general assembly on March 8, 2018.
